Invoxa

Terms of Service

These terms govern the use of the Invoxa accounts-payable automation service provided by ATLAS MA LLC. Effective September 19, 2026.

1. Who we are and what these terms cover

Invoxa is a trading name of ATLAS MA LLC, a New Mexico limited liability company (entity ID 0008128069). References to "Invoxa", "we", "us" and "our" in these terms mean ATLAS MA LLC.

These Terms of Service (the "Terms") apply to every organisation that signs an order form, accepts a quote, creates an account, or otherwise uses the Invoxa service (the "Service"). By doing any of those things you agree to these Terms on behalf of the organisation you represent, and you confirm you have the authority to do so. If you do not agree, do not use the Service.

An order form, quote or statement of work we issue (an "Order") forms part of the agreement between us. If an Order conflicts with these Terms, the Order prevails for that subscription.

2. The Service

Invoxa is accounts-payable automation software delivered online as a subscription. It captures supplier invoices, reads and codes them, routes them for approval under rules you configure, matches them to purchase orders and receipts, records payment instructions, and synchronises the results with your accounting or ERP system.

The Service is provided to businesses for business use. It is not offered to consumers, and it is not a bank, a payment institution, or a provider of accounting, tax or legal advice. Decisions to approve, reject or pay an invoice remain yours.

Access is provisioned electronically. Once an Order is accepted and, where applicable, the first payment has been received, we create your workspace and send account credentials to the administrator named on the Order, normally within two business days. Onboarding and ERP connection are scheduled with you and described in the Order.

3. Accounts and authorised users

You are responsible for everyone who accesses the Service through your workspace ("Users"), for keeping credentials confidential, and for all activity under your accounts. Tell us promptly at support@invoxa.agency if you suspect unauthorised access.

You must provide accurate account, billing and contact information and keep it current.

4. Fees, billing and payment

Fees are set out in your Order and are quoted and charged in US dollars (USD) unless the Order states another currency. Unless the Order says otherwise, subscription fees are billed in advance, monthly or annually according to the billing period you selected, and usage-based fees (for example, invoice volume above the included allowance) are billed in arrears at the end of each billing period.

Payments are processed by Stripe, our payment service provider. Card details are entered on, and stored by, Stripe; we do not store full card numbers. By providing a payment method you authorise us and Stripe to charge it for the fees due under your Order, including on each renewal.

Fees exclude taxes. You are responsible for any sales, use, VAT, GST or similar taxes that apply, other than taxes on our income; where we are required to collect a tax we will add it to your invoice.

Invoices not paid within 14 days of the due date may accrue interest at 1% per month or the highest rate permitted by law, whichever is lower, and we may suspend the Service after giving you 10 days' written notice of non-payment.

We may change our prices for a subsequent subscription term by giving you at least 30 days' notice before that term begins. Price changes never apply to a term you have already paid for.

5. Term, renewal and cancellation

Each subscription runs for the initial term stated in the Order and then renews automatically for successive periods of the same length, at the then-current fees, unless either party gives notice of non-renewal before the current term ends. You may cancel at any time from your account settings or by emailing support@invoxa.agency; cancellation takes effect at the end of the billing period already paid for, and access continues until then.

Cancellation and refunds are described in full in our Refund and Cancellation Policy, which forms part of these Terms.

6. Your data

Invoices, supplier records, approval histories, ERP data and any other content you or your Users submit to the Service ("Customer Data") remain yours. You grant us the rights we need to host, process, transmit and display Customer Data in order to provide and support the Service, to comply with law, and as otherwise instructed by you.

We process Customer Data as your processor under our Privacy Policy and, where required, a data processing agreement, which is available on request and forms part of these Terms where it applies. We maintain administrative, technical and physical safeguards designed to protect Customer Data, including encryption in transit and at rest, access controls and audit logging.

For 30 days after a subscription ends we will make Customer Data available for export on request; after that we delete it from active systems, subject to backups that expire in the ordinary course and to any retention required by law.

7. Acceptable use

You agree not to: use the Service in breach of law or of a third party's rights; submit content that is unlawful, infringing or malicious; attempt to gain unauthorised access to the Service or its infrastructure; reverse engineer the Service except where the law expressly permits it; resell or provide the Service to third parties other than your affiliates and their Users; or use the Service to build a competing product.

8. Intellectual property

The Service, its software, models, documentation and branding are owned by us or our licensors and are protected by intellectual-property law. Subject to these Terms we grant you a non-exclusive, non-transferable right to use the Service during your subscription for your internal business purposes. No other rights are granted. Feedback you give us may be used without restriction or payment.

9. Third-party services

The Service connects to third-party systems you choose, such as your ERP, your email provider and your bank or payment rails. Those systems are governed by their own terms; we are not responsible for their availability, accuracy or conduct, and connector availability is confirmed with you before your Order is finalised.

10. Warranties and disclaimers

We warrant that the Service will perform materially as described in our documentation and the Order. Your sole remedy for a breach of this warranty is for us to correct the non-conformity or, if we cannot within a reasonable time, to refund the fees paid for the affected period and terminate the affected subscription.

Except as expressly stated in these Terms, the Service is provided "as is" and we disclaim all other warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. Automated data extraction and coding are assistive: you remain responsible for reviewing outputs before relying on them.

11. Limitation of liability

To the fullest extent permitted by law, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data, however arising. Each party's total liability under these Terms in any 12-month period is limited to the fees you paid for the Service in that period. These limits do not apply to a party's indemnity obligations, to breaches of confidentiality, to infringement of the other party's intellectual property, or to liability that cannot be limited by law.

12. Suspension and termination

Either party may terminate the agreement for material breach if the breach is not cured within 30 days of written notice. We may suspend access immediately where necessary to prevent harm to the Service, other customers or third parties, or where required by law, and will restore access once the cause is resolved. Sections that by their nature should survive termination (including fees owed, data return, intellectual property, disclaimers, limitation of liability and governing law) survive.

13. Governing law and disputes

These Terms are governed by the laws of the State of New Mexico, United States, without regard to conflict-of-laws rules. The state and federal courts located in New Mexico have exclusive jurisdiction over any dispute arising out of these Terms, and each party consents to that jurisdiction. Before starting proceedings, the parties will attempt in good faith to resolve the dispute through discussion between senior representatives for at least 30 days.

14. Changes to these terms

We may update these Terms from time to time. Material changes will be notified to your account administrator by email at least 30 days before they take effect, and continued use of the Service after that date constitutes acceptance. The current version is always published at https://invoxa.agency/terms.
